IMPORTANT. Please read these terms and conditions
carefully when ordering or accessing The PODFather
(.TPF.) services and/or software from Valley Technology
Ltd.
These terms and conditions ("Terms") govern the use and
licensing by Valley Technology Ltd of the following TPF
service(s) and related software covered by use, access or an
order by you (hereafter, "You", "Your", or .Yourself.)
referencing this form and accepted by Valley Technology
Ltd. By signing, using TPF or otherwise indicating Your
acceptance of these terms, You represent and warrant that
You: (1) are authorised to sign for and bind Yourself and
any other party on whose behalf You use the service and/or
software (the .Contracting Party.) and (2) agree for
Yourself and the Contracting Party to be bound by all of
these Terms. Valley Technology Ltd reserves the right,
exercised in its sole discretion, to change, modify, add, or
delete portions of these Terms at any time.
End user license agreement
This end user license agreement (EULA) grants You and the
Contracting Party a non-exclusive, non-transferable, nonassignable
right to use The PODFather software and
services. You and the Contracting Party acknowledge that
The PODFather software is a licensed program and
proprietary to Valley Technology Ltd and is protected by
copyrights, trademarks, service marks, patents and/or other
proprietary rights and laws. Therefore, You and the
Contracting Party agree that You and the Contracting Party
are only permitted to use the Licensed Programs as
expressly authorised by Valley Technology Ltd and this
License Agreement. You and the Contracting Party may not
remove any proprietary notices or labels from the Licensed
Programs. You and the Contracting Party may not alter,
modify, redistribute, sell, auction, decompile, reverse
engineer, disassemble or otherwise reduce the Licensed
Programs to a human-readable form. You and the
Contracting Party may not reproduce, distribute or create
derivative works based on the Licensed Programs without
expressly being authorised in writing to do so by Valley
Technology Ltd. Further, You and the Contracting Party may
not rent, lease, grant a security interest in or otherwise
transfer rights to the Licensed Programs. All rights not
expressly granted in this License Agreement are reserved to
Valley Technology Ltd.
Billing and payment
Usage of TPF is billed on a per job basis. Each job is charged
at a maximum of 33 pence (GBP) and each photograph
attachment at 5 pence (GBP) per image. As monthly volumes
increase, the cost per job decreases. Billing is charged in
arrears on the first working day of each month, with payment
terms is strictly 14 days from invoice date.
Termination
Valley Technology may in its sole discretion immediately
terminate this service, license and right to use the service or
software if (1) you or contracting party break this agreement.
(2) Valley Technology is unable to verify any account
information you provide. The client may also terminate this
agreement with immediate effect.
Indemnification
You and the Contracting Party are responsible for maintaining
the confidentiality of your account and password(s). You and
the Contracting party are also responsible for all activities
that occur under your account.
Commencement
This agreements commencement date is that of the completion
date of the Account Application form.
